Throughout these Terms of Service, “Eternal Peptides,” “we,” “us,” and “our” refer to Cenvira LLC, a New York Limited Liability Company doing business as “Eternal Peptides.” These Terms of Service, together with our Purchase Agreement terms below, govern all access to and use of our website, products, services, related social media platforms, purchases, and any materials purchased, obtained, or used from Eternal Peptides. By accessing our website, engaging with our social media platforms, purchasing our products or services, or using any materials obtained from Eternal Peptides, you acknowledge that you have read, understood, and agreed to all terms and conditions outlined herein.

Research Use Only Disclaimer:

All products and Materials sold by Eternal Peptides are strictly intended for lawful laboratory research, analytical, and development purposes only by qualified professionals. Materials are not intended for human or animal consumption, clinical use, diagnostic use, therapeutic use, veterinary use, pharmaceutical use, agricultural use, household use, cosmetic use, food use, drug use, medical device use, or any other unauthorized purpose. Basic scientific research does not include clinical, diagnostic, therapeutic, human, or animal use, and Buyer agrees that Materials will not be administered to humans or animals under any circumstances.

By purchasing from Eternal Peptides, Buyer acknowledges and agrees that our products are research materials only and are not pharmaceuticals, supplements, consumer goods, medical devices, cosmetics, food products, or household products of any kind. Eternal Peptides operates solely as a research chemical supplier. We are not a compounding pharmacy, are not a compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and are not registered as an outsourcing facility under Section 503B of the Act.

Buyer agrees to read and follow all product labels, warnings, instructions, and disclaimers before opening, handling, storing, transporting, or using any Materials. Buyer represents and warrants that all Materials will be used exclusively for lawful laboratory research purposes and in compliance with all applicable laws and regulations. Any misuse, abuse, improper use, illegal use, unauthorized use, improper handling, mislabeling, or unauthorized application of any Materials is strictly prohibited. Eternal Peptides assumes no responsibility or liability for any such misuse or unauthorized use.

No Medical, Veterinary, or Professional Advice

All content provided on the Eternal Peptides website, product pages, labels, emails, social media platforms, or other communications is provided for informational and research-related purposes only. No content is intended to constitute medical, veterinary, pharmaceutical, diagnostic, therapeutic, legal, or professional advice. Buyer should not rely on any information from Eternal Peptides as a substitute for independent professional judgment, regulatory review, or applicable legal compliance.

Buyer Eligibility, Qualifications, and Order Acceptance

Only individuals who are at least 21 years old or the age of majority in their jurisdiction, whichever is greater, can make a purchase. By using our services, you represent and warrant that you meet these age requirements. Failure to maintain accurate and current information constitutes a breach of these Terms of Service and may result in the immediate termination of your account and cancellation of all your purchase transactions. It is your responsibility to ensure that your information is up-to-date at all times.

By purchasing Materials from Eternal Peptides, Buyer represents and warrants that Buyer is a qualified professional, laboratory, institution, or authorized purchaser with the knowledge, training, facilities, and legal authority required to safely handle, store, transport, and use the Materials for lawful research purposes only.

Buyer represents and warrants that Buyer has independently reviewed and understands:

1. the health and safety hazards associated with the Materials;
2. the proper handling, storage, transport, and disposal procedures for the Materials;
3. the industrial hygiene and safety controls necessary to protect personnel from exposure;
4. the need to warn employees, contractors, carriers, handlers, and any other relevant parties of risks associated with the Materials; and
5. all applicable federal, state, local, and international laws and regulations related to the purchase, possession, handling, storage, use, transport, and disposal of the Materials.

Eternal Peptides reserves the right to refuse, cancel, or limit any order if Eternal Peptides believes, in its sole discretion, that the Buyer is not qualified or that the Materials may be misused.

Receipt of an order confirmation, payment confirmation, or other electronic communication does not constitute acceptance of an order or confirmation of an offer to sell. Eternal Peptides reserves the right, at any time and in its sole discretion, to accept, reject, cancel, limit, modify, or refuse any order for any reason, including suspected misuse, suspected fraud, regulatory concerns, product availability, pricing errors, payment issues, shipping restrictions, or concerns regarding Buyer qualification. If an order is canceled after payment has been collected, Eternal Peptides will issue any applicable refund in accordance with its policies and applicable law.

Buyer represents and warrants that all personal, billing, shipping, contact, account, and purchase information provided to Eternal Peptides is accurate, complete, current, and not misleading. Failure to provide or maintain accurate information constitutes a breach of these Terms and may result in refusal, cancellation, suspension, or termination of any order, account, purchase, or access to our services.

Restrictions on Use, Resale, Transfer, Commercial Use, and Export

Buyer receives only a limited, non-transferable right to use the Materials purchased from Eternal Peptides solely for Buyer’s own lawful internal laboratory research purposes. No right to resell, redistribute, transfer, supply, repackage, relabel, reverse engineer, incorporate into another product, or otherwise provide the Materials or any derivative, component, mixture, preparation, or research output thereof to any third party is granted, whether expressly, by implication, by estoppel, or otherwise.

Buyer may not sell, supply, transfer, distribute, repackage, relabel, export, re-export, ship, or otherwise provide any Materials purchased from Eternal Peptides to any third party, restricted person, restricted entity, restricted jurisdiction, or destination outside the United States without Eternal Peptides’ prior written approval and any legally required authorization. Eternal Peptides may require Buyer to provide identifying information, intended-use details, and qualification information for any proposed third party before any approval is considered.

Materials are sold for internal research purposes only. Buyer may not use the Materials for commercial manufacturing, compounding, formulation, quality control services, diagnostic services, clinical services, fee-for-service research, contract research, product development for sale, reporting results to third parties for compensation, or any other commercial application unless expressly approved in writing by Eternal Peptides. Buyer is solely responsible for compliance with all applicable export control, customs, import, sanctions, and trade compliance laws.

Prohibited Uses

You may not use our website or products for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction, including but not limited to copyright laws. Prohibited uses include, but are not limited to, using the site to commit fraud; infringing on intellectual property rights; engaging in harmful or abusive conduct; attempting to interfere with or disrupt the site or servers; creating a false identity or misrepresenting your affiliation with any person or entity; engaging in any activity that imposes an unreasonable or disproportionately large load on our infrastructure; and using any automated system, such as bots, to access the site. Eternal Peptides reserves the right to refuse service, terminate accounts, and cancel orders at its sole discretion if it believes that a customer’s conduct violates applicable law or is harmful to the interests of Eternal Peptides.

Regulatory Compliance; No Adulteration, Misbranding, or Chemical Inventory Violations

Buyer represents and warrants that any product, preparation, mixture, derivative, research output, or other material produced using Materials purchased from Eternal Peptides will not be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act or any other applicable law. Buyer further agrees that Materials purchased from Eternal Peptides will not be used to create, prepare, formulate, sell, distribute, or introduce into commerce any food, drug, supplement, cosmetic, medical device, veterinary product, or other regulated consumer product unless such use is expressly permitted by applicable law and approved in writing by Eternal Peptides.

Buyer understands that some Materials sold by Eternal Peptides may not be listed on the Toxic Substances Control Act inventory or other applicable chemical inventories. Buyer assumes full responsibility for determining whether any Materials purchased are subject to TSCA, chemical inventory, reporting, registration, licensing, or other regulatory requirements. Buyer agrees not to use any Materials in a manner that violates TSCA or any other applicable chemical control law.

Assumption of Risk

Buyer acknowledges that Materials sold by Eternal Peptides may involve known and unknown risks, hazards, and uncertainties. Buyer voluntarily assumes all risks associated with the purchase, possession, handling, storage, transport, use, misuse, disposal, transfer, or other activity involving the Materials. Buyer agrees that Eternal Peptides is not responsible for any injury, illness, death, property damage, regulatory violation, loss, or other consequence arising from Buyer’s purchase, handling, use, misuse, storage, transport, disposal, or unauthorized application of the Materials.

Limitation of Liability

To the maximum extent permitted by applicable law, Eternal Peptides and its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the website or products. Indemnity

Buyer agrees to indemnify, defend, and hold harmless Eternal Peptides, Cenvira LLC, and their affiliates, officers, directors, members, managers, employees, agents, suppliers, contractors, payment processors, and service providers from and against any and all claims, demands, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

1. Buyer’s purchase, possession, handling, storage, transport, use, misuse, disposal, resale, transfer, relabeling, repackaging, export, or distribution of any Materials;
2. Buyer’s breach of these Terms;
3. Buyer’s violation of any applicable law, regulation, or third-party right;
4. any personal injury, death, property damage, regulatory action, investigation, chargeback, payment dispute, or third-party claim arising from Buyer’s conduct;
5. Buyer’s failure to properly warn, train, supervise, or qualify any person or entity who handles or comes into contact with the Materials.

Chargebacks and Refunds Policy

By purchasing from Eternal Peptides, you agree to the following terms regarding chargebacks and refunds:

Eternal Peptides offers a 7-day no-questions-asked return window from the date of delivery, provided that the product is unused, unopened, and in its original condition and packaging. To request a return, please contact us at support@test.eternalpeptides.net within 7 days of delivery.

Chargebacks are strictly prohibited. Any attempt to initiate a chargeback will be fully disputed, with all necessary documentation submitted to our payment processors. If you have any concerns, complaints, or refund requests, please contact us first at support@test.eternalpeptides.net.

Consequences of fraudulent, abusive, or illegitimate chargebacks may include:

• Immediate suspension of access to our services.
• Filing of a formal police report and fraud complaint.
• Potential legal action to recover the disputed amount, along with any associated fees and damages.
• By completing a purchase, you acknowledge and agree to these terms.

Pricing, Discounts, Coupons, and Payment Methods

Eternal Peptides may accept payment methods including credit/debit card, Zelle, Bitcoin, or other available payment methods. All payments are processed through trusted third-party payment providers. By completing a transaction, Buyer agrees that payment details may be handled by these providers and are subject to their applicable terms and conditions. Eternal Peptides does not directly store or process full payment card details.

All product prices listed on our website or promoted through our social media platforms are subject to change without prior notice. Prices are exclusive of taxes, levies, duties, shipping charges, or other governmental charges unless expressly stated otherwise. Buyer is responsible for any applicable taxes, duties, fees, or charges associated with the order unless otherwise stated.

Certain discounts may be combined, including discounts tied to specific checkout options, bulk purchase discounts on a single peptide, and automatically applied sales or promotions. In addition, Buyer may apply one coupon code per order unless otherwise stated. Eternal Peptides reserves the right to modify, refuse, cancel, or revoke any discount, coupon, promotion, or pricing offer at any time, including in cases of error, misuse, abuse, or suspected fraud.

Eternal Peptides strives to ensure pricing information is accurate; however, in the event of a typographical, technical, promotional, or pricing error, Eternal Peptides reserves the right to correct the error, cancel or modify affected orders, refuse fulfillment, or charge the correct price to the maximum extent permitted by law.

No Patent or License Rights

The sale or listing of any Material by Eternal Peptides does not grant Buyer any license, right, title, or interest under any patent, trademark, trade secret, copyright, regulatory approval, or other intellectual property right. Eternal Peptides makes no representation or warranty that Buyer’s purchase, possession, use, resale, transfer, research, or other activity involving the Materials will not infringe or violate the rights of any third party. Buyer is solely responsible for determining whether Buyer’s intended use requires any license, approval, authorization, or permission.

Intellectual Property

All content on the Eternal Peptides website and social media platforms, including products, labeling, text, graphics, patents, trademarks, and logos, are the property of Eternal Peptides and are protected by copyright laws. Unauthorized use of any content is prohibited without written consent.

Force Majeure

Eternal Peptides shall not be liable for any delay or failure in performance due to circumstances beyond its reasonable control, including but not limited to acts of war, terrorism, strikes, fire, pandemics, government regulations, interruptions in the supply chain, or other unforeseen events. These Terms and any dispute, claim, or controversy arising out of or relating to the website, products, services, purchases, Materials, or relationship between Buyer and Eternal Peptides shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.

To the maximum extent permitted by law, Buyer agrees that any claim or dispute shall be brought exclusively in the state or federal courts located in New York, and Buyer consents to the personal jurisdiction and venue of such courts.

Buyer agrees that any claim must be brought individually and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

To the maximum extent permitted by law, the prevailing party in any dispute shall be entitled to recover its reasonable attorneys’ fees, court costs, filing fees, collection costs, and other expenses incurred in enforcing these Terms.
